The information contained in this website (collectively, the “Website Information”) is being made available by Ancient Art, L.P. (“Ancient Art”), IA to Teton Capital Partners, L.P. (“the Fund”) for the benefit of its existing investors, employees and other persons expressly authorized to receive such information. This website contains confidential, nonpublic information. It is intended only for the use of the individual or entity that has been specifically authorized to view the information. Ancient Art authorizes each authorized user to copy electronically or print in hard copy the Website Information for internal reference purposes or other non-commercial, personal use, but not for any other use.
The Website Information is for informational purposes only and is superseded by the information contained in the Fund’s disclosure documents and must be read in conjunction therewith. The Website Information should not be construed as financial or investment advice on any subject matter. Ancient Art does not warrant the accuracy of the information provided on this website or in any linked site, either expressly or impliedly, for any particular purpose. Ancient Art does not warrant or insure that its web site will be free from errors, omissions, interruptions, delays, losses or defects, whether human or mechanical.
The Fund has not been registered under the federal securities laws of the United States, the securities laws of any state, or the laws of any other jurisdiction. Access to this website has been provided to you at your request and does not constitute an offer to sell or the solicitation of an offer to purchase an interest in the Fund in any jurisdiction. A private offering of the interests in the Fund will only be made pursuant to the Fund’s Confidential Private Information Memorandum and the Fund’s Limited Partnership Agreement and Subscription Agreement, which will be furnished to eligible investors on a confidential basis at their request and will be subject to the terms and conditions contained in such documents.
An investment in the Fund will involve significant risks due to, among other things, the nature of the Fund’s investments. Refer to the Confidential Private Offering Memorandum for a discussion of the risks associated with an investment in the Fund. No assurance can be given that the Fund’s investment objectives will be achieved. On any investment, total loss of principal is possible.
You acknowledge that the information set forth above is accurate and complete as of the date hereof, and you will promptly notify Ancient Art of any material change in such information. You hereby consent to the disclosure of any such information, and any other information furnished to Ancient Art, to any governmental authority, self-regulatory organization, or to the extent required by law, to any other person.
You acknowledge that your use of Ancient Art’s website, including, without limitation, the username and password to the website issued to you and any information that relates to or involves the Fund, including information relating the Fund's performance, is of a proprietary and confidential nature (“Confidential Material”) and that damage to Ancient Art and/or the Fund it manages could result if the information is disclosed to any third party. You hereby agree that the Confidential Material will be used solely for individual investment purposes, including the purpose of more efficiently evaluating the performance of the Fund. You agree that you will not disclose such Confidential Material except (i) as required by law, or (ii) to your directors, officers, employees, agents, affiliates, representatives and advisors (collectively, the "Representatives") who need to know such information for the purposes of evaluating an investment in the Fund. You shall inform your Representatives of the confidential nature of the Confidential Material and shall direct your Representatives to treat such information confidentially and otherwise to comply with the terms of this agreement. You acknowledge that you shall be responsible for any breach of this agreement by any of your Representatives and you will, at your sole expense, use your best efforts (including, but not limited to, court proceedings) to restrain your Representatives from prohibited or unauthorized disclosure or use of the Confidential Information.
You understand and agree that monetary damages would not be an adequate remedy for any breach of this agreement and that Ancient Art shall be entitled to equitable relief, including injunctions and specific performance, if you or your Representatives breach or threaten to breach any provision of this Agreement. Such remedies shall not be deemed to be the exclusive remedies for a breach or threatened breach by you or your Representatives of this agreement but shall be in addition to all other remedies available at law or equity to Ancient Art.
In consideration of being permitted access to the Ancient Art website, you hereby acknowledge that you have read and understand this Agreement and agree to be bound by its terms and conditions. Subsequent use of any username and password shall be deemed to constitute your full acceptance of the terms and conditions of this Agreement. As a condition to this authorization, you agree that any copy which you make shall retain all copyright and other proprietary notices contained herein, and that any other use of documents published on this website without prior written approval from Ancient Art is strictly prohibited. This agreement shall be governed by, and construed in accordance with, the laws of the State of Texas.
